SUBSTANCE: modification of petroleum-polymer resin to produce film-forming material comprises treating it with functional oxygen-containing compound, in particular product of liquid-phase thermo-oxidative destruction of diene rubber, the process being carried out in presence of solvent at ambient temperature and at weight ratio resin/rubber destruction product/hydrocarbon solvent equal to 1:(0.05-0.25):(0.61-1.24). Another embodiment of invention contemplates using, as oxygen-containing compound, by-product formed in production of isoprene by reaction of isobutylene with formaldehyde through intermediate 4,4-dimethyl-1,3-dioxane, or fraction of this by-product. In this case, process is carried out in presence of hydrocarbon solvent at ambient temperature and at weight ratio resin/by- product/solvent equal to 1:(0.05-0.25):(0.66-1.2).

EFFECT: lowered reaction temperature.
