FIELD: chemistry of organosilicon compounds, more particularly manufacture of polyphenyloyloxane resins and are used fro manufacturing resins, varnishes and enamels. SUBSTANCE: chenylethoxy silanes are prepared by reacting magnesium with mixture of chlorobenzene and organosilicon monomer at elevated temperature in the presence of process activator. The organosilicon monomer is monomer of tetraethoxy silane with stillage waste products resulting from high-temperature synthesis of phenyltrichlorosilane at volumetric ratio thereof of (66.7-5.8):1, the stillage waste products also include distilled waste products having boiling temperature of not higher than 110 C, and pressure of 1-3 mm Hg. EFFECT: reduced amounts, of expensive monomer (tetraethoxy silane) and utilization of stillage waste products resulting from high-temperature synthesis of phenyltrichlorosilane. 2 tbl
