SUBSTANCE: invention relates to a measuring device and a method for determining the flow rate of a fluid flowing in a pipeline. Measuring device (10) for determining the flow velocity of fluid (12) flowing in conduit (14), by means of at least one ultrasonic transducer (18a-b) located on the outside of pipeline wall (22) and having oscillating element (34) connected to pipeline wall (22) portion (32) of the pipeline acting as a vibrating membrane of ultrasonic transducer (18a-b), has pocket (30) located outside in pipeline (14), the lower part of the pocket forming membrane (32), and connecting element (36) is disposed between membrane (32) and oscillating element (34), the cross section of which is smaller than the cross section of oscillating element (34). Method for determining the flow rate of fluid (12) flowing in conduit (14), in which ultrasonic transducer (18a-b) located on the outside of pipeline wall (22) and having oscillating element (34) connected to section (32) of pipeline wall (22), uses section (32) as a vibrating membrane is that pocket (30) is placed outside conduit (14), the lower part of which forms membrane (32), the ultrasound being transmitted between membrane (32) and vibrating element (34) through connecting element (36), the cross section of which is smaller than the cross section of oscillating element (34).
